1. Agreement to Terms

By accessing or using Honest QR ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Honest QR is a QR code generation and management platform that offers two types of QR codes:

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Registration

To use certain features of the Service, you must create an account. You may register using:

• Email and password
• Google OAuth authentication

You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

Scan tracking for dynamic QR codes is subject to monthly limits based on your account tier:

When you reach your monthly scan limit, your QR codes will continue to redirect to their destination URLs without interruption. Only scan tracking and analytics recording will pause until the start of the next calendar month. Scan counts reset on the first day of each calendar month.

6. Fair Use Policy

To ensure reliable service for all users, you agree not to:

• Generate automated or bot-driven scans of QR codes
• Engage in scan farming or use any scheme to artificially inflate scan counts
• Use scripts, crawlers, or other automated tools to repeatedly scan QR codes
• Coordinate with third parties to manipulate scan analytics

We reserve the right to investigate suspicious scan activity. Accounts found to be in violation of this policy may have their scan data adjusted, analytics access suspended, or account terminated.

7. URL Content Policy

We use automated URL safety scanning (including the Google Safe Browsing API) to protect users who scan QR codes. We reserve the right to:

• Scan destination URLs for malicious, phishing, or harmful content
• Block or disable QR codes that point to unsafe or illegal content
• Remove links that violate applicable laws or these Terms
• Display a warning page to scanners before redirecting to flagged URLs

You are responsible for the content of your destination URLs. If a URL is flagged or blocked, you will be notified and may update the destination to a compliant URL. Repeated violations may result in account termination.

8. Refund Policy

We offer a 30-day money-back guarantee for Pro and Business purchases. If you are unsatisfied for any reason within 30 days of your purchase, contact us for a full refund. After 30 days, all sales are final. Refunds are issued to the original payment method within 5-10 business days. Upon refund, your account will be downgraded and dynamic QR codes will stop redirecting.

9. User Responsibilities and Prohibited Uses

You agree not to use the Service to:

• Create QR codes linking to illegal, harmful, or malicious content
• Distribute malware, phishing scams, or fraudulent materials
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Harass, abuse, or harm another person or entity
• Impersonate any person or entity, or falsely represent your affiliation
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems (bots, scrapers) without permission
• Resell or commercially exploit the Service without authorization

Violation of these prohibitions may result in immediate termination of your account and potential legal action.

10. QR Code Ownership and Usage Rights

You retain all ownership rights to the content and destination URLs you create through the Service. Honest QR does not claim ownership of your QR codes or their destinations. However, by using the Service, you grant us a limited license to:

• Host and display your QR codes as necessary to provide the Service
• Track and store scan analytics for your dashboard
• Use anonymized, aggregated data for service improvements

QR codes generated through the Service use our short URL domain (e.g., honestqr.com/r/your-slug). If the Service is discontinued, we will provide at least 90 days' advance notice via email and make your data (link destinations, scan history, and QR customization settings) available for export during that period.

11. Service Availability and Modifications

We strive to provide reliable uptime but do not guarantee uninterrupted or error-free service. We reserve the right to:

• Modify, suspend, or discontinue any feature or the entire Service
• Perform scheduled or emergency maintenance
• Update these Terms at any time (with notice of material changes)
• Adjust usage limits, features, or pricing for any tier

Material changes to usage limits, features, or pricing will be communicated with at least 30 days' advance notice via email or a prominent notice on the Service. Existing paid users will not have their scan limits, included dynamic QR code slots, or export formats reduced below what was in effect at the time of their purchase.

12. Force Majeure

Honest QR shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to: natural disasters, acts of government, internet or telecommunications failures, third-party service outages (including hosting, database, or payment providers), cyberattacks, pandemics, or other force majeure events. During such events, our obligations under these Terms are suspended for the duration of the event.

13. Assignment and Change of Control

You may not assign or transfer your account or rights under these Terms without our prior written consent. We may assign or transfer these Terms, including all rights and obligations, in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets. In such event, the successor entity will be bound by these Terms with respect to existing paid users, or we will provide a pro-rata refund based on the original purchase price.

14. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

• The Service will meet your specific requirements
• The Service will be uninterrupted, secure, or error-free
• QR codes will function indefinitely or be accessible at all times
• Any errors or defects will be corrected
• The Service is free from viruses or harmful components

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HONEST QR AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or QR code unavailability
• User errors, unauthorized access, or data breaches beyond our control
• Third-party actions or content accessed through QR codes

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR $49 (THE COST OF THE BUSINESS PLAN), WHICHEVER IS GREATER.

17. Indemnification

You agree to indemnify, defend, and hold harmless Honest QR and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content or destinations linked through your QR codes

18. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• At your request (account deletion)
• Discontinuation of the Service

Upon termination, your right to use the Service will immediately cease, and we may delete your account data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through:

• Good faith negotiation between the parties
• Binding arbitration if negotiation fails (under AAA rules)
• Exclusive jurisdiction in the state and federal courts located in California

You waive any right to participate in class-action lawsuits or class-wide arbitration.

20. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or a prominent notice on the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may request account deletion.

21. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court, the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the original intent.

22. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Honest QR regarding the Service and supersede all prior agreements and understandings.
